Terms of Use for WebCatalog Powered Platforms

1. Acceptance and Electronic Records

This website or catalog is powered by WebCatalog (webcatalog.in), a technology platform that helps merchants publish product catalogs and receive inquiries. By accessing or using this catalog (including on a webcatalog.in subdomain or a merchant's custom domain that uses our Service), you (the "User", "Visitor", or "Buyer") agree to these Terms of Use. If you do not agree, do not use this catalog. Electronic records and electronic communications relating to these Terms of Use are valid under the Information Technology Act, 2000 and applicable rules, to the maximum extent permitted by law.

These Terms of Use apply to visitors and inquirers. They are separate from the Terms of Service that apply to business account holders who create catalogs on WebCatalog. Our Privacy Policy describes how personal data may be processed. The merchant (seller) controls catalog content and fulfillment. WebCatalog provides the underlying technology.

2. Age and Capacity

You should be at least eighteen (18) years of age to use inquiry features and form contracts with sellers. Where a minor uses a catalog to browse or inquire, a parent or legal guardian should supervise and is responsible for the minor's activity and for any inquiry submitted on their behalf, to the extent permitted by applicable law.

3. Nature of Service and Invitation to Treat

This platform is an inquiry and chat-based commerce system, not a traditional checkout-based marketplace where WebCatalog sells goods or processes purchase payments for products.

  • Invitation to treat / no binding offer by WebCatalog: Products, descriptions, and prices displayed on this catalog do not constitute a legally binding offer by WebCatalog to sell. They are an invitation to treat / invitation to inquire directed at the seller. No contract of sale for catalog goods is formed with WebCatalog.
  • Facilitation only: WebCatalog provides the interface for communication between you and the seller. Final price confirmation, payment terms, delivery, and related commitments occur directly between you and the seller via chat, WhatsApp, call, or other offline channels.

4. Role of WebCatalog as an Intermediary

WebCatalog acts solely as an intermediary technology provider that powers the catalog technology. WebCatalog is not the seller of the goods or services listed. Using a WebCatalog-powered catalog does not mean you pay WebCatalog for the seller's goods, and does not make WebCatalog a party to any deal between you and the seller.

  • Seller controls content: The seller is responsible for catalog accuracy, product legality, inventory, and how they respond to inquiries.
  • No liability for products: WebCatalog does not manufacture, store, inspect, or endorse items shown in merchant catalogs, and is not responsible for quality, safety, authenticity, or legality of goods or services offered by sellers.
  • No payment processing for goods: WebCatalog does not collect payment for goods sold by sellers through catalogs. We are not responsible for financial disputes, fraud, non-delivery, or failed transactions between you and the seller.

5. Pricing and Availability (Seller Catalog)

  • Seller pricing: Prices and terms listed on a catalog are set by the seller and may change without notice.
  • Availability: Items may be out of stock or discontinued. Confirm availability with the seller through inquiry features before relying on a listing.
  • Errors: WebCatalog is not liable for typographical errors or inaccuracies in information provided by the seller.

6. Payments and Financial Safety

  • Pay the seller directly: Any payment for goods (COD, UPI, bank transfer, or otherwise) is made to the seller, not to WebCatalog. WebCatalog does not charge visitors for catalog goods through this Terms of Use.
  • Verify before paying: Verify the seller's identity and credentials before making advance payments. Never share OTP, banking passwords, or one-time codes with strangers claiming to represent WebCatalog or the seller. WebCatalog will never ask for your OTP or payment details to purchase items from a merchant's catalog on the seller's behalf.

7. Inquiries, Consent, and Seller Privacy Practices

  • Inquiry consent: By submitting an inquiry, you consent to sharing your contact information (such as name and mobile number) and message with that seller so they can respond to your request.
  • After delivery: Once inquiry details are delivered to the seller, the seller's own privacy practices and applicable law may govern how they further use your information. See also our Privacy Policy.
  • Accuracy: Provide true and accurate information when inquiring.

8. User Conduct and Indemnity

You agree not to:

  • Spam, harass sellers, or misuse inquiry, chat, or WhatsApp inquiry features.
  • Upload malicious code or attempt unauthorized access to the catalog or related systems.
  • Scrape the catalog abusively or use automated means that interfere with the Service.
  • Use the platform for unlawful, fraudulent, or deceptive purposes.

You agree to indemnify, defend, and hold harmless WebCatalog and its affiliates from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your misuse of the inquiry system, your breach of these Terms of Use, or your unlawful conduct in connection with a catalog.

9. Intellectual Property

Catalog content, logos, designs, and images are owned by the respective seller or by WebCatalog (for platform branding, software, templates, and UI). Unauthorized copying, scraping, or distribution is prohibited under applicable intellectual property laws. WebCatalog's name, logos, software, and storefront technology remain WebCatalog property. Seller Content remains the seller's (or its licensors') property.

10. Disclaimers and Limitation of Liability

The catalog interface and related features are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, WebCatalog and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising from your use of this catalog, reliance on seller content, or any transaction with a seller.

Without limiting the foregoing, WebCatalog's aggregate liability to you arising out of or relating to these Terms of Use or your use of a WebCatalog-powered catalog (including browsing and inquiries) is limited to ₹1,000 (one thousand Indian Rupees), except where liability cannot be limited under applicable law.

11. Changes, Severability, and Entire Agreement

WebCatalog may update these Terms of Use by posting a revised version and updating the Effective Date. Continued use of a WebCatalog-powered catalog after changes take effect constitutes acceptance of the updated terms. If any provision is held unenforceable, the remaining provisions continue in effect. These Terms of Use, together with the Privacy Policy as it applies to visitors, constitute the entire agreement between you and WebCatalog regarding visitor use of WebCatalog-powered catalogs and supersede prior visitor-facing terms on that subject. They do not modify the seller's own terms with you, if any.

12. Governing Law and Jurisdiction

These Terms of Use are governed by the laws of India. Disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India, subject to any mandatory rights that cannot be waived under applicable law.
